TERMS OF USE

1. Publisher

MagicPackingList is published by:
MagicPackingList, a French limited liability company (SARL) currently in the process of registration.

All commitments undertaken under these Terms shall be assumed by the company upon its registration with the French Trade and Companies Register (Registre du Commerce et des Sociétés).

 

2. Purpose

These Terms of Use (the “Terms”) define the conditions governing access to and use of the MagicPackingList platform, a SaaS solution dedicated to the digitalization and structuring of packing lists and logistics documents.

Any use of the platform implies full and unconditional acceptance of these Terms.

 

3. Description of the Service

MagicPackingList is an online application that enables, in particular:

• Import of logistics documents (PDF, Excel, or other compatible formats)

• Automated extraction and structuring of data

• Consultation and export of structured data

• Logistics document management

The solution is currently provided as an MVP (Minimum Viable Product) and may evolve.

MagicPackingList reserves the right to modify or update the platform’s features at any time.

 

4. Access to the Service

Access to the Service is restricted to professionals.

The user agrees to:

• Provide accurate information during registration

• Keep login credentials confidential

• Use the Service strictly for lawful professional purposes

The user is responsible for all activity carried out through their account.

 

5. Data Processing – Roles of the Parties (Integrated DPA)

5.1 Qualification of the Parties

In the context of the use of the Service:

• The Client acts as Data Controller

• MagicPackingList acts as Data Processor within the meaning of Regulation (EU) 2016/679 (GDPR) and the UK GDPR

MagicPackingList processes data solely:

• On documented instructions from the Client

• For the exclusive purpose of providing the Service

• For the duration necessary to perform the contractual relationship

 

5.2 Nature of the Data Processed

The data that may be processed include:

• Logistics data (references, quantities, weight, dimensions)

• Commercial data (shipper, consignee, carrier)

• Professional contact data that may appear in documents

MagicPackingList is not intended to process sensitive personal data.

 

5.3 Processor Obligations

MagicPackingList undertakes to:

• Ensure the confidentiality of the data

• Restrict access to authorized personnel only

• Implement appropriate technical and organizational measures

• Reasonably assist the Client in handling GDPR-related requests

• Notify the Client without undue delay in the event of a personal data breach

• Not engage sub-processors without sufficient compliance guarantees

 

5.4 Hosting and Data Location

Data are hosted by OVHcloud in France, within the European Union.

Any potential transfer outside the EU shall be governed by mechanisms compliant with the GDPR (Standard Contractual Clauses or adequacy decisions).

 

5.5 Data Return or Deletion

Upon the Client’s request:

• Data shall be deleted; or

• Returned in a usable format

Unless otherwise required by law.

 

6. Non-Exploitation and Data Neutrality

MagicPackingList acknowledges the strategic and confidential nature of the processed data.

Accordingly, MagicPackingList undertakes to:

• Not exploit client data for its own commercial purposes

• Not analyze client data for competitive purposes

• Not use client data to develop a competing activity

• Not sell, rent, or share client data

Data may only be used:

• To ensure the technical operation of the Service

• To improve the performance of the solution

• In anonymized and aggregated form that does not allow identification of any client

MagicPackingList adopts a position of technological neutrality toward supply chain stakeholders.

 

7. Intellectual Property

The software, its architecture, code, algorithms, and interface are the exclusive property of MagicPackingList.

The user retains ownership of all documents and data uploaded to the platform.

No transfer of intellectual property rights is granted under these Terms.

 

8. Financial Terms

Access to the Service is currently provided free of charge as part of the MVP phase.

MagicPackingList reserves the right to introduce paid plans at a later stage.
Users will be informed in advance.

If applicable, payments will be processed via Stripe Technology Europe Ltd.

 

9. Availability

MagicPackingList endeavors to ensure reasonable service availability.

However, the Service is provided “as is,” and no guarantee of uninterrupted access is given.

 

10. Limitation of Liability

MagicPackingList shall not be held liable for:

• Errors originating from source documents

• Incorrect interpretation of extracted data

• Indirect losses (including loss of profit, business interruption, or commercial loss)

The total liability of MagicPackingList shall be limited to the amount paid by the Client during the preceding twelve (12) months, if any.

 

11. Termination

The user may request deletion of their account at any time.

MagicPackingList may suspend or terminate an account in the event of fraudulent use or breach of these Terms.

 

12. Governing Law

These Terms are governed by French law.

Any dispute shall fall under the jurisdiction of the competent courts of the company’s registered office.
